Terms and Conditions

The terms and conditions set out below shall apply to any quotation or acceptance of an order given by the Seller and no variation shall be accepted unless agreed between the Buyer and the Seller In writing. These terms and conditions shall control over any conflicting or inconsistent provisions contained in any purchase order form or acceptance of the Buyer, unless specifically modified in writing and signed by an authorized representative of the Seller.

QUOTE ACCEPTANCE: Unless otherwise specified in writing by the Seller, all quotations are open for acceptance for a period of 30 days.

PAYMENT TERMS: Net 30 days.

TAXES: All prices are exclusive of all excise, sales, use or similar taxes, and exclusive of all customs fees, stamp charges, import or export tariffs, taxes, assessments, duties or similar charges. Wherever applicable, such taxes, fees and charges will be added to the invoice as a separate charge to be paid by the Buyer.

MINIMUM ORDER VALUE: $75 from factory unless by special arrangement, check with local distributor.

F.O.B.: Shipping charges are freight collect, "F.O.B." from factory. If shipped from another location, shipping charges are FOB that location. Title and all risk of loss will pass to Buyer upon delivery to the shipper; any insurance on the goods thereafter shall be obtained by and at the expense of the Buyer.

INVOICES: One copy is sent separate from the shipment. A Packing List is enclosed with each shipment. Extra copies of the invoice may be specified at time of ordering.

SHIPMENTS: If unspecified, we will choose the shipper for domestic shipments. We will use Fed Ex or US Mail at our discretion. Other methods may be specified of time of ordering. Shipping charges will include a nominal insurance and handling fee unless special arrangements are made in writing.

RETURNED: All Cable-Comm Technologies products to be returned to Cable-Comm Technologies, for whatever reason, MUST have a written RETURN MERCHANDISE AUTHORIZATION from Cable-Comm Technologies. No returns will be accepted by Cable-Comm Technologies unless such a written return authorization has first been obtained. Any material which is to be returned due to change of design, over-buy, or other reasons of customer responsibility will be subject to a handling charge based on the item, quantity and resale potential. A restocking charge may be applied. No credit or refund will be issued for used parts, modified parts or custom-made pieces.

CANCELLATIONS & VARIATIONS: All cancellations of orders prior to shipping are subject to a cancellation charge based on material in hand and operations performed. All cancellations or variations to an order will be billed to the Buyer.

FAX TRANSMISSIONS: We cannot be responsible for fax transmission errors; any costs involved will be billed to the Buyer.

TELEPHONE ORDERS: All telephone orders which are confirmed by mail must be marked "Confirming" or costs incurred in duplicate shipments will be the Buyer's responsibility. Many phone orders are shipped prior to receipt of "Confirming" orders, therefore, costs involved in any errors or changes must be absorbed by the Buyer.

SPECIAL PARTS: Quotations for modified catalog parts and special custom-made parts are available on request and upon receipt of customer's drawing and instructions.

SAMPLES: Due to the large amount of assorted stock items carried by Cable-Comm Technologies, and the general nature of our business, we do not supply "free samples".

SCHEDULED DELIVERIES: Cable-Comm Technologies will accept orders for merchandise with delivery split over a prespecified schedule, provided that all unshipped portions of such orders shall be subject to all general price increases of Cable-Comm Technologies during such scheduled delivery period. Depending on the total time span of the schedule, the quantity discounts will vary since the product will be made in advance of the scheduled shipping date, substantial charges may apply in the case of a cancellation. Handling charges may also apply if the scheduled dates are changed.

DELAYS: Cable-Comm Technologies will not be liable for failure to perform or any delay in delivery or shipment of goods, when such failure or delay is, directly or indirectly, caused by, or in any manner arises from, fires, floods, accidents, riots, acts of God, war, legal prohibition or restriction, governmental interference or embargoes (whether by priorities, rationing or otherwise) strikes, labor difficulties, shortage of labor, fuel, power, materials, supplies, transportation delays, or any other cause or causes (whether or not similar in nature to any of these hereinbefore specified) beyond our control. SPECIAL PACKAGING: Special Packaging, such as Individual Packaging, is available at an additional charge.

ENGINEERING CHANGES: Cable-Comm Technologies reserves the right to discontinue production of any product at any time. Cable-Comm Technologies also reserves the right to change the configuration or material of the components shown in its documentation, and specifically disclaims any obligation to notify Buyer of any such change unless the outside dimensions of the product have been changed or quality or strength compromised. If specific components are required, additional charges will apply.

TOLERANCES: All items will be subject to our standard tolerances for variations. Tolerances other than standard tolerances are subject to additional charges.

WARRANTY: Cable-Comm Technologies MAKES NO WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR ANY PURPOSE. The goods sold are warranted to be free from defects in material or workmanship, as established by Cable-Comm Technologies's standards of acceptable quality levels. THIS EXPRESS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED. Our only obligation under this warranty is to credit your account with the invoice amount for such defective product or to replace or repair at our option and expense any product which contain manufacturing defects at variance with Cable-Comm Technologies specifications, provided the specific defect is reported to Cable-Comm Technologies within thirty (30) days after the date of shipment. Every such claim under this warranty shall be deemed waived by Buyer unless it is made in writing within said 30 day period. Any goods returned without a written return authorization will not be received for replacement, repair or credit. We reserve the right to request that an item be returned to Cable-Comm Technologies for examination and cannot be responsible for labor charges incurred In replacement of any item. Cable-Comm Technologies's liability for defects on any item shall not exceed its original costs. Debit memos will not be accepted without written authorization from Cable-Comm Technologies.

LIABILITY: Total liability of Cable-Comm Technologies with respect to any order whether based on negligence, warranty, contract indemnity or otherwise, shall not exceed the purchase price of the single product upon which such liability is based. Cable-Comm Technologies shall in no event be liable to the Buyer, any successor or beneficiary of any order, for any consequential, indirect incidental, special or future damages arising from such orders or breach thereof, whether or not such a loss or damage is based on contract warranty, negligence, indemnity, strict liability or otherwise.

COPYRIGHT AND PROPRIETARY INFORMATION: The copyright trademarks, patents, drawing and other information in quotation are owned by Cable-Comm Technologies, Inc. and no part may be reproduced or changed without the written consent of Cable-Comm Technologies, Inc.
